These Terms of Use ("Terms") govern your access to and use of Kinly, a relationship maintenance mobile application ("App") provided by Kinly ("Company," "we," "us," or "our"). By downloading, installing, or using Kinly, you agree to be bound by these Terms.
Please read these Terms carefully before using the App. If you do not agree to these Terms, do not download, install, or use Kinly.

1. Acceptance of Terms
By tapping "Accept," creating an account, or using Kinly in any way, you confirm that:
- You have read, understood, and agree to be bound by these Terms
- You have read and agree to our Privacy Policy
- You meet the eligibility requirements described below
- You have the legal capacity to enter into a binding agreement
2. Description of Service
Kinly is a personal relationship maintenance application designed to help you stay connected with the people who matter most. The App provides:
Core Features (Free Tier):
- Contact management with customizable priority tiers (Inner Circle, Close Friends, Extended Network)
- Daily connection prompts suggesting who to reach out to
- Journal entries to record interactions and conversations
- Important date tracking (birthdays, anniversaries, custom events)
- Connection streak tracking and social health metrics
- Calendar view of upcoming events and reminders
- Local data storage on your device
Premium Features (Paid Subscription):
- Unlimited contacts (Free tier: up to 50 contacts)
- Cloud backup and restore functionality
Kinly stores your data locally on your device. We do not maintain cloud servers that store your personal relationship data unless you explicitly opt into future backup features.
3. Eligibility
To use Kinly, you must:
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
- If you are between 13 and 18 years old (or the age of majority in your jurisdiction), have permission from a parent or legal guardian
- Not be prohibited from using the App under applicable laws
- Not have been previously banned from using Kinly
By using the App, you represent and warrant that you meet all eligibility requirements.
4. Your Account
4.1 Account Creation
Kinly is designed to work without requiring account registration for basic functionality. However, certain features may require you to provide information such as:
- Your name or display name
- Email address (for support and optional features)
- Notification preferences
4.2 Account Security
You are responsible for:
- Maintaining the security of your device and any passcodes or biometric locks
- All activities that occur through your use of the App
- Notifying us immediately if you suspect unauthorized access to your data
4.3 Accuracy of Information
You agree to provide accurate, current, and complete information when using the App. You are responsible for keeping any account information up to date.
5. License to Use the App
5.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on mobile devices that you own or control
- Use the App for your personal, non-commercial purposes
5.2 License Restrictions
You may not:
- Copy, modify, or distribute the App or any portion thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Rent, lease, lend, sell, sublicense, or transfer the App to any third party
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the App for any commercial purpose without our prior written consent
- Use automated systems, bots, or scripts to access or interact with the App
- Circumvent, disable, or interfere with security features of the App
5.3 Updates
We may release updates, patches, or new versions of the App from time to time. Some updates may be required for continued use. Your continued use of the App after an update constitutes acceptance of any updated Terms.
6. Subscription and Payment Terms
6.1 Free and Premium Tiers
Kinly offers both free and premium subscription options:

6.2 Subscription Pricing
Premium subscriptions are available at the following prices (subject to change):
- Monthly: $4.99 USD per month
- Annual: $39.99 USD per year (approximately 17% savings)
Prices may vary by region and are displayed in your local currency in the App. Applicable taxes may be added to the displayed price.
6.3 Automatic Renewal
IMPORTANT: YOUR SUBSCRIPTION AUTOMATICALLY RENEWS.
Unless you cancel at least 24 hours before the end of your current billing period:
- Your subscription will automatically renew for the same duration
- Your payment method will be charged at the then-current subscription price
- Price changes will be communicated in advance
6.4 How to Cancel
You can cancel your subscription at any time through:
- iOS: Settings > [Your Name] > Subscriptions > Kinly
- Android: Google Play Store > Menu > Subscriptions > Kinly
Cancellation takes effect at the end of your current billing period. You will retain access to Premium features until your subscription expires. Deleting the App does not cancel your subscription.
6.5 Refunds
All payments are processed through Apple App Store or Google Play Store. Refund requests are subject to their respective refund policies:
We do not have direct access to your payment information and cannot process refunds directly.
6.6 Price Changes
We reserve the right to change subscription prices. For existing subscribers:
- We will provide at least 30 days' notice before any price increase
- Price changes take effect at the start of your next billing period
- Continuing to use Premium features after a price change constitutes acceptance
7. Free Trial
7.1 Trial Offer
We may offer free trial periods for Premium features. Trial terms will be displayed before you start the trial.
7.2 Trial Conversion
IMPORTANT: YOUR FREE TRIAL AUTOMATICALLY CONVERTS TO A PAID SUBSCRIPTION.
At the end of your free trial:
- Your subscription begins automatically
- Your payment method is charged the applicable subscription fee
- To avoid charges, cancel at least 24 hours before the trial ends
7.3 Trial Limitations
- Free trials are typically offered once per user and device
- We reserve the right to determine trial eligibility
8. Your Content and Data
8.1 Your Ownership
You retain full ownership of all content you create, enter, or store in Kinly, including:
- Contact information and profiles
- Journal entries and notes
- Important dates and reminders
- Tags, moods, and interaction records
- Any other personal data you input
Kinly does not claim any ownership rights over your content.
8.2 Limited License to Us
By using the App, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of:
- Providing App functionality to you
- Maintaining and improving the App
- Providing customer support when you contact us
This license is limited to operating the App. We will not sell, share, or publicly display your content.
8.3 Your Responsibilities
You are solely responsible for:
- The accuracy and legality of content you enter
- Maintaining backups of important data
- Ensuring you have the right to store information about other people (see Section 9)
8.4 Data Storage
Your data is stored locally on your device using SQLite databases. Key points:
- Your relationship data does not leave your device unless you use export features
- We do not have access to your locally stored data
- If you delete the App, your locally stored data is permanently deleted
- We strongly recommend using the export feature to back up important data
9. Contact Import Feature
9.1 Permission and Purpose
Kinly allows you to import contacts from your device's address book to help you manage your relationships. When you use this feature:
- We request access to your device contacts
- You select which contacts to import
- Imported information may include names, phone numbers, email addresses, and photos
- This information is stored locally on your device
9.2 Your Representations
By importing contacts, you represent and warrant that:
- You have the right to use and store the contact information you import
- Your use of imported contact data complies with applicable laws
- You will not use imported data for spam, harassment, or illegal purposes
9.3 Third-Party Rights
The people whose contact information you import have not directly consented to Kinly. You are responsible for:
- Using imported information appropriately and ethically
- Respecting the privacy and preferences of your contacts
- Complying with any requests from contacts regarding their information
9.4 No Automatic Syncing
Kinly does not automatically sync with your device contacts. Changes you make to contacts in Kinly do not affect your device's address book, and vice versa.
10. Acceptable Use
10.1 Permitted Uses
You may use Kinly to:
- Track and manage your personal relationships
- Record interactions and important dates
- Set reminders to stay in touch with people
- Export your data for personal backup purposes
10.2 Prohibited Uses
You agree not to use Kinly to:
- Harass, stalk, or harm any person
- Store information about individuals for illegal purposes
- Conduct commercial activities without authorization
- Collect information about others without their knowledge for malicious purposes
- Violate any applicable law, regulation, or third-party rights
- Interfere with or disrupt the App's functionality
- Attempt to gain unauthorized access to our systems
- Use the App in any manner that could damage, disable, or impair the App
- Introduce viruses, malware, or other harmful code
- Scrape, data mine, or extract data from the App using automated means
10.3 Enforcement
We reserve the right to:
- Investigate suspected violations of these Terms
- Remove or disable access to content that violates these Terms
- Suspend or terminate your access to the App for violations
- Report illegal activities to appropriate authorities
11. Intellectual Property
11.1 Our Ownership
Kinly and all related intellectual property are owned by us or our licensors, including:
- The App's source code, design, and architecture
- Trademarks, logos, and branding (including "Kinly")
- User interface designs and visual elements
- Message templates and default content
- Documentation and marketing materials
11.2 Feedback
If you provide suggestions, ideas, or feedback about Kinly ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, modify, and incorporate that Feedback into our products without any obligation to you.
11.3 Copyright Notices
All content and materials in the App are protected by copyright and other intellectual property laws. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices.
12. Third-Party Services
12.1 App Stores
The App is distributed through Apple App Store and Google Play Store. Your use of those platforms is governed by their respective terms:
12.2 Third-Party Links
The App may contain links to third-party websites or services. We are not responsible for:
- The content or practices of third-party sites
- Any transactions you conduct with third parties
- Any damages or losses caused by third-party services
12.3 Open Source Software
Kinly may include open source software components governed by their respective open source licenses.
13. Disclaimers
13.1 "As Is" Provision
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the App will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or reliability of any information obtained through the App
13.2 No Relationship Advice
IMPORTANT: KINLY IS NOT A RELATIONSHIP COUNSELING SERVICE.
The App is a personal organization tool designed to help you track your relationships. We do not provide:
- Professional counseling, therapy, or psychological advice
- Relationship advice or guidance
- Guarantees regarding relationship outcomes
Any suggestions, prompts, reminders, or features are for organizational purposes only. We make no representations or warranties that using Kinly will improve your relationships.
If you are experiencing relationship difficulties, emotional distress, or mental health challenges, please consult a qualified professional.
13.3 No Professional Advice
Nothing in the App constitutes professional, legal, financial, medical, or other advice. You should consult appropriate professionals for such matters.
13.4 Data Loss
While we design the App to be reliable, we cannot guarantee against data loss. You are responsible for maintaining backups of your important data. We strongly recommend using the export feature regularly.
14. Limitation of Liability
14.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, KINLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of data, profits, revenue, or business opportunities
- Personal injury or emotional distress
- Damages relating to your personal relationships
- Any damages arising from unauthorized access to your data
- Any damages resulting from interruption or cessation of the App
- Any damages arising from your reliance on the App
This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
14.2 Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF:
- (A) The amounts you paid to us in the twelve (12) months preceding the claim, or
- (B) One hundred U.S. dollars ($100 USD)
14.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14.4 Basis of the Bargain
You acknowledge that we have set our prices and entered into these Terms in reliance upon the disclaimers and limitations of liability in this Section, and that these form an essential basis of the bargain between us.
15. Indemnification
You agree to hold Kinly harmless from any claims arising from your violation of these Terms or misuse of the App.
16. Account Termination and Data Deletion
16.1 Your Right to Delete
You may delete your data and stop using Kinly at any time:
- Delete All Data: Settings > Developer > Reset App Data
- Delete the App: Uninstall Kinly from your device
- Cancel Subscription: Through your device's app store settings (required separately)
Important: Deleting the App or your data does NOT automatically cancel any active subscription. You must cancel through your app store.
16.2 Effect of Deletion
When you delete your data or uninstall the App:
- All locally stored data is permanently deleted
- This action cannot be undone
- Any exported backups you created remain your responsibility
- Your subscription status is managed separately through the app store
16.3 Our Right to Terminate
We reserve the right to suspend or terminate your access to the App at any time, with or without cause, including if:
- You violate these Terms
- We are required by law to do so
- We discontinue the App or certain features
- Your conduct may harm other users or our business
16.4 Effect of Termination
Upon termination:
- Your license to use the App is immediately revoked
- You must cease all use of the App
- Provisions that by their nature should survive termination will survive (including Sections 8, 11, 13, 14, 15, and 17)
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal dispute, we encourage you to contact us at hpstudiosapp+kinly-legal@gmail.com to attempt to resolve the dispute informally. Most disputes can be resolved this way.
17.2 Governing Law
Any disputes arising from these Terms or your use of the App shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
17.3 Jurisdiction
You agree to submit to the personal jurisdiction of the courts located in Delaware for any disputes not resolved informally.
18. Changes to These Terms
18.1 Modifications
We may modify these Terms from time to time. When we make changes:
- We will update the "Last Updated" date at the top
- For material changes, we will provide notice through the App or by email
- Material changes will take effect 30 days after notice, unless you accept earlier
18.2 Your Acceptance
Your continued use of the App after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.
18.3 Previous Versions

19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kinly regarding your use of the App and supersede all prior agreements.
19.2 Severability
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
19.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
19.6 Notices
We may provide notices to you through the App, by email (if provided), or by posting on our website. You may provide notices to us at hpstudiosapp+kinly-legal@gmail.com.
19.7 Headings
Section headings are for convenience only and have no legal effect.
19.8 Language
These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
